Celsius Holdings to Acquire Alani Nutrition in a $1.8 Billion Deal

Celsius Holdings, Inc. (Nasdaq: CELH) has announced a definitive agreement to acquire Alani Nutrition LLC, the parent company of Alani Nu, in a deal valued at $1.8 billion. The acquisition, which includes $150 million in tax assets, brings the net purchase price to $1.65 billion, comprising a mix of cash and stock. The transaction is expected to close in the second quarter of 2025, pending regulatory approvals and customary closing conditions.

Founded in 2018, Alani Nu is a female-focused brand offering functional beverages and wellness products tailored to Gen Z and millennial consumers. The acquisition is seen as a strategic move to combine two growing brands in the U.S. energy drink market, creating a leading platform for better-for-you, functional lifestyle products. Alani Nu’s complementary brand positioning and access to female consumer demographics are expected to drive incremental growth in the energy drink category.

John Fieldly, Chairman and CEO of Celsius, emphasized the alignment of the two brands, stating that the acquisition will broaden the availability of Alani Nu’s products and help more consumers achieve their wellness goals. Katy Schneider, Co-Founder of Alani Nu, expressed confidence in Celsius as the ideal partner to enhance the brand’s growth while staying true to its core values.

The combined platform is projected to generate approximately $2 billion in annual sales, leveraging the strengths of both brands to drive innovation, distribution gains, and global expansion. The deal is expected to be cash EPS accretive in the first year, with $50 million in run-rate cost synergies anticipated over two years post-closing.

Key members of the Congo Brands leadership team, which operates Alani Nu, will continue as advisors to Celsius to ensure a smooth transition and sustained business momentum. The acquisition underscores Celsius’ commitment to capitalizing on the growing consumer shift toward premium, functional beverage options aligned with health and wellness trends.
